TERMS AND CONDITIONS OF USE

(Applicable to Website and Digital Platforms of Vikram Boards & Papers and its Group Entities)

1. ABOUT US

Vikram Boards & Papers Private Limited, along with its affiliates, group companies, special purpose vehicles (SPVs) and managed entities (collectively referred to as “Vikram Boards & Papers”, “we”, “us” or “our”), is engaged in the business of delinquency management, stressed asset resolution, portfolio acquisition, recovery management, and allied financial services, including acting as a resolution manager for non performing and distressed loan portfolios acquired from banks, NBFCs, financial institutions, asset reconstruction companies and other regulated entities.

Vikram Boards & Papers operates in compliance with applicable laws of India, including guidelines issued by the Reserve Bank of India (RBI), the Information Technology Act, 2000, and other relevant statutes.

2. SCOPE OF THESE TERMS

These Terms and Conditions (“Terms of Use”) govern:

  • Access to and use of our website, portals, dashboards, applications, APIs and digital platforms (“Platform”);
  • Use of any information, tools, dashboards, reports or content made available through the Platform;
  • Engagement with Vikram Boards & Papers for investment, portfolio acquisition, collection, recovery, analytics, reporting, or related services.

By accessing or using the Platform, you unconditionally agree to be bound by these Terms of Use.

3. ELIGIBILITY AND AUTHORITY

By using this Platform, you represent and warrant that:

  • You are at least 18 years of age and legally competent;
  • You are accessing the Platform for lawful business or informational purposes only;
  • If acting on behalf of an entity (including investors, agencies, vendors, or institutions), you have full authority to bind such entity.

4. NATURE OF SERVICES – NO ADVICE

The Platform may provide access to:

  • Portfolio level data and analytics
  • Collection, recovery, legal, and performance dashboards
  • Investment or portfolio information shared on a confidential basis

Nothing on the Platform constitutes:

  • Investment advice
  • Legal advice
  • Tax advice
  • Credit advice
  • Solicitation to invest

All decisions taken by you are solely at your own discretion and risk.

5. PORTFOLIO ACQUISITION & INVESTOR DISCLAIMER

Any information relating to stressed or delinquent portfolios, expected recoveries, collection strategies, projections or scenarios is indicative only, subject to market conditions, borrower behaviour, legal timelines, and regulatory constraints.

Past performance does not guarantee future results.

6. REGULATORY COMPLIANCE

  • Vikram Boards & Papers operates within the regulatory framework applicable to NBFCs, ARCs, recovery managers and service providers;
  • Certain services may require regulatory approvals or disclosures;
  • Access to specific features may be restricted based on regulatory classification.

7. CONFIDENTIALITY

All information shared on the Platform, including portfolio data, investor materials, recovery strategies and borrower related data is confidential and proprietary to Vikram Boards & Papers or its partners.

You shall not disclose, reproduce, distribute, or misuse such information without prior written consent.

8. USER OBLIGATIONS

  • Misuse the Platform for unlawful purposes;
  • Reverse engineer or tamper with the Platform;
  • Introduce malware, viruses, or malicious code;
  • Attempt unauthorised access to systems or data;
  • Misrepresent your identity or authority.

9. DATA PROTECTION & PRIVACY

We collect, process, store and share personal and business data strictly in accordance with applicable Indian data protection laws, RBI guidelines, and our Privacy Policy, which forms an integral part of these Terms.

10. THIRD PARTY AGENCIES & SERVICE PROVIDERS

Vikram Boards & Papers may engage collection agencies, legal firms, technology vendors, analytics and communication service providers.

We are not responsible for independent actions or ensure outcomes beyond contractual scope.

11. INTELLECTUAL PROPERTY

All content on the Platform, including logos, software, dashboards, reports, text and graphics are owned by or licensed to Vikram Boards & Papers.

No licence is granted except for limited, non commercial use.

12. NO WARRANTY

The Platform is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding accuracy, completeness, availability, or suitability.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Vikram Boards & Papers shall not be liable for indirect, incidental, or consequential damages. Total aggregate liability shall not exceed INR 1,000 or the fees paid, if any, whichever is lower.

14. Refund & Cancellation Policy

No Refunds / Cancellations

The services provided by Vikram Boards Private Limited (operating under the brand Craidit) are professional, financial, advisory, portfolio‑related, recovery, settlement, legal facilitation, and technology‑enabled services, which are rendered on a best‑efforts and execution basis.

Once any service is initiated, fee is charged, payment is made, or transaction is executed (whether partially or fully), no refund, reversal, or cancellation shall be permitted, under any circumstances whatsoever.

This includes, but is not limited to, fees paid towards advisory services, settlement facilitation, portfolio evaluation, recovery services, platform usage, documentation, legal coordination, or any allied services.

All payments made to the Company shall be deemed to be final, non‑refundable, and non‑transferable, unless otherwise expressly agreed in writing by the Company.

15. INDEMNITY

You agree to indemnify and hold harmless Vikram Boards & Papers, its directors, officers, employees, and affiliates from any claims arising due to your breach of these Terms, misuse of the Platform, or violation of law or third party rights.

16. TERMINATION

We reserve the right to suspend or terminate access without notice and restrict or revoke privileges for violations. Upon termination, all rights granted to you shall cease immediately.

17. FORCE MAJEURE

We shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, regulatory actions, system outages, or cyber incidents.

18. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of India. Courts at Mumbai shall have exclusive jurisdiction. Arbitration (if applicable) shall be governed by the Arbitration and Conciliation Act, 1996, seat at Mumbai, language English.

19. MODIFICATIONS

We may update these Terms at any time. Continued use constitutes acceptance of revised Terms.
